Una inversi\u00f3n china en Espa\u00f1a recorre casi siempre las mismas estaciones jur\u00eddicas. Conocerlas antes de empezar evita sobrecostes y semanas perdidas: este es el mapa que usamos con nuestros clientes en la primera reuni\u00f3n.<\/p>\n\n\n\n

1. Elegir el veh\u00edculo<\/h2>\n\n\n\n

La sociedad limitada (S.L.) es el veh\u00edculo habitual para operar en Espa\u00f1a por su flexibilidad y su capital m\u00ednimo reducido; la sociedad an\u00f3nima (S.A.) se reserva para proyectos de gran dimensi\u00f3n o con vocaci\u00f3n de mercado de capitales, y la sucursal no crea persona jur\u00eddica separada, por lo que la matriz responde directamente. La elecci\u00f3n condiciona responsabilidad, gobernanza y fiscalidad: conviene decidirla con la estructura completa del grupo delante.<\/p>\n\n\n\n

2. Preparar la documentaci\u00f3n china<\/h2>\n\n\n\n

Los documentos societarios y los poderes otorgados en China deben legalizarse mediante la apostilla \u2014aplicable entre China y Espa\u00f1a desde la incorporaci\u00f3n china al convenio\u2014 y traducirse por traductor jurado. Los socios y administradores extranjeros necesitan adem\u00e1s su n\u00famero de identidad de extranjero (NIE). Preparar este paquete en paralelo a la negociaci\u00f3n ahorra semanas.<\/p>\n\n\n\n

3. Autorizaciones y declaraciones<\/h2>\n\n\n\n

Espa\u00f1a mantiene un r\u00e9gimen de control de determinadas inversiones extranjeras en sectores estrat\u00e9gicos, junto a las declaraciones informativas de inversi\u00f3n exterior. La mayor\u00eda de las operaciones no requieren autorizaci\u00f3n previa, pero definir pronto si la suya la necesita \u2014o si conviene una consulta previa\u2014 es una de las decisiones con m\u00e1s impacto en el calendario.<\/p>\n\n\n\n

4. Fiscalidad desde el dise\u00f1o<\/h2>\n\n\n\n

El convenio para evitar la doble imposici\u00f3n entre China y Espa\u00f1a, la tributaci\u00f3n de dividendos e intereses, los precios de transferencia del grupo y el IVA de las operaciones deben entrar en el dise\u00f1o de la inversi\u00f3n, no despu\u00e9s. Una estructura pensada solo desde el Derecho societario suele pagar la factura en el impuesto.<\/p>\n\n\n\n

5. Las personas<\/h2>\n\n\n\n

Toda inversi\u00f3n necesita equipo sobre el terreno: directivos desplazados, t\u00e9cnicos y personal local. Las autorizaciones de residencia para traslados dentro del grupo y para profesionales cualificados, y la contrataci\u00f3n laboral espa\u00f1ola, forman parte del mismo proyecto y conviene planificarlas con los hitos del negocio.<\/p>\n\n\n\n

A Chinese investment in Spain almost always passes through the same legal stations. Knowing them in advance avoids cost overruns and lost weeks: this is the map we use with our clients at the first meeting.<\/p>\n

1. Choosing the vehicle<\/h2>\n

The limited company (S.L.) is the usual vehicle for operating in Spain thanks to its flexibility and low minimum capital; the public limited company (S.A.) is reserved for large projects or capital-market ambitions, and a branch creates no separate legal person, so the parent answers directly. The choice shapes liability, governance and tax: decide it with the whole group structure on the table.<\/p>\n

2. Preparing the Chinese documents<\/h2>\n

Corporate documents and powers of attorney executed in China must be legalised with an apostille \u2014 applicable between China and Spain since China joined the convention \u2014 and translated by a sworn translator. Foreign shareholders and directors also need their Spanish foreigner identity number (NIE). Preparing this package in parallel with the negotiation saves weeks.<\/p>\n

3. Authorisations and filings<\/h2>\n

Spain maintains a screening regime for certain foreign investments in strategic sectors, together with informative filings on foreign investment. Most transactions need no prior authorisation, but determining early whether yours does \u2014 or whether a prior consultation is advisable \u2014 is one of the decisions with the greatest impact on the timeline.<\/p>\n

4. Tax from the design stage<\/h2>\n

The China\u2013Spain double tax treaty, the taxation of dividends and interest, the group's transfer pricing and the VAT of the transactions must enter the design of the investment, not come afterwards. A structure conceived only from corporate law usually pays the bill in tax.<\/p>\n

5. The people<\/h2>\n

Every investment needs a team on the ground: relocated executives, technicians and local staff. Residence permits for intra-group transfers and qualified professionals, and Spanish employment contracts, are part of the same project and should be planned around the business milestones.<\/p>\n
